01 / THE APPROACH

A better exit begins with a clearer picture.

Your business is more than a number on a listing. A sale should account for the earnings, the people, the financing, and your life after closing.

Before going to market, I work through the questions buyers and lenders are likely to ask. The goal is a business they can understand, a value you can explain, and a process you can move through with confidence.

03 / THE SALE PROCESS

Know the next step.
And why it matters.

Each business needs its own strategy. A consistent process gives that strategy a path from the first conversation to the closing table.

Talk through your situation
01

Prepare & position

Understand the business, review the financial story, surface risks, and develop a pricing and marketing strategy.

02

Reach & qualify buyers

Present the opportunity to relevant buyers, manage confidentiality, and assess financial capacity and fit.

03

Evaluate & structure

Compare price alongside cash at closing, contingencies, seller financing, transition duties, and execution risk.

04

Coordinate & close

Work alongside the parties’ attorneys, accountants, lenders, and other advisors to navigate diligence and closing requirements.

THE WHOLE TRANSACTION MATTERS

The best offer is about more than the headline price.

Proceeds

What will you receive at closing, and what depends on future payments or performance?

Ability to close

Can the buyer support the proposed structure, obtain financing, and complete diligence?

Life after the sale

What will the transition require of you, and how does it fit the next chapter you want?

BEFORE WE TALK

A few common questions.

What if I’m not ready to sell yet?

That can be a useful time to start. We can discuss your timeline, the factors that influence value, and the issues you may want to address before going to market.

Will my employees or competitors know?

Confidentiality is central to the process. We discuss how the business is described publicly, how buyers are screened, and when identifying information is shared. No sale process can eliminate disclosure risk entirely.

How do you determine what my business is worth?

We consider financial performance, supportable adjustments, industry and market context, transferability, and the likely buyer universe. A useful pricing discussion requires reviewing the business’s records; an asking price is not a guarantee of an outcome.

What should I bring to the first conversation?

Start with your goals, approximate revenue and earnings, ownership structure, and ideal timeline. We can then identify which financial statements and other records are needed for a more detailed review.

How are fees structured?

Scope and fees are discussed directly and documented before an engagement begins. The appropriate arrangement depends on the business, the work required, and the transaction.

YOUR NEXT CHAPTER STARTS WITH A CONVERSATION

Let’s talk about
what comes next.

Whether a sale is on the horizon or on your mind, start with a confidential conversation about your goals.
